Though there has been change since our launch in 2013, something that will forever remain at the core of Huda Beauty is our focus on business excellence and our unwavering passion for kindness! <\/p>\n<h3>Summary <\/h3>\n<p>Reporting directly to our General Counsel, Huda Beauty seeks a pragmatic, commercially minded Director, Corporate and Commercial to establish and scale the Group\u2019s legal function across corporate and commercial matters. This hands\u2011on, senior\u2011level role will lead and manage the Group\u2019s legal entity governance, company secretarial matters, mergers and acquisitions, legal entity restructuring, digitisation of the Huda Beauty Legal department, and lead our commercial contracting and contract compliance, working collaboratively and cross\u2011functionally. You will be a trusted adviser to the Group\u2019s senior management team. <\/p>\n<h3>Essential Duties and Responsibilities <\/h3>\n<ul>\n<li><b>Corporate Affairs: <\/b> Oversee the full corporate lifecycle of all Group entities across multiple jurisdictions, ensuring structural integrity, governance alignment, and compliance with applicable laws and internal policies. <\/li>\n<li><b>Documentation: <\/b> Lead and advise on the proper drafting and execution of corporate documents such as articles of association, memoranda of association, board and manager resolutions, powers of attorney, sale and purchase agreements, transitional services agreements, board minutes, and similar documents. <\/li>\n<li><b>Governance and Risk Frameworks: <\/b> Develop and maintain policies, procedures and control frameworks for governance and risk\u2011related matters (e.g., product\u2011safety related operational risks, supply chain, third\u2011party\/vendor risk, data\/privacy risk intersections). <\/li>\n<li><b>Entity Management: <\/b> Lead and coordinate entity formation, cross\u2011border reorganisations, mergers, demergers and liquidation\/strike\u2011off processes in partnership with external counsel, the Family office, and Finance &#038; Tax. <\/li>\n<li><b>Entity Rationalisation: <\/b> Advise on entity rationalisation and restructuring projects to optimise operational, tax and regulatory outcomes. <\/li>\n<li><b>Delegation of Authority: <\/b> Own, design, implement and maintain the Group\u2019s Delegation of Authority (DoA) framework; lead periodic reviews and ensure consistent application across jurisdictions; design and maintain internal controls, approval workflows and audit\u2011ready processes for signature authority, sign\u2011off and DoA exceptions. <\/li>\n<li><b>Governance Support: <\/b> Support the establishment and running of governance for risk committees and working groups, prepare agendas, materials and clear action trackers; drive follow\u2011through with senior stakeholders. <\/li>\n<li><b>Business Advisory: <\/b> Provide practical advice to business leaders on risk\u2011based decision\u2011making, escalation, and embedding governance into day\u2011to\u2011day operations. Monitor internal controls and remediation plans; coordinate risk testing and assurance activities with internal auditors or external reviewers where required. <\/li>\n<li><b>Commercial Legal: <\/b> Provide senior commercial legal advice on customer, supplier and partner contracts, distribution, licensing, master services agreements, and brand\/channel agreements relevant to consumer goods, beauty and luxury sectors; develop standardised contracting templates, playbooks and clause libraries to streamline negotiation and reduce legal spend; collaborate with our Director, Compliance, Governance and Risk. <\/li>\n<li><b>Commercial Transactions: <\/b> Lead negotiation and execution of complex cross\u2011border commercial transactions; provide pragmatic commercial risk advice. <\/li>\n<li><b>Digitisation &#038; AI: <\/b> Drive digital transformation of our legal operations, namely the corporate matters and commercial contract lifecycle management (CLM) through implementation and continuous improvement, including tracking, reporting and document retention. <\/li>\n<li><b>Cross\u2011Functional Partnership: <\/b> Act as the key legal partner to our Director, Compliance, Governance &#038; Risk; Finance &#038; Tax teams on entity\u2011level matters, inter\u2011company agreements, fund flows and tax\u2011driven restructurings, and foster a culture of compliance and improvement. <\/li>\n<li><b>Statutory Consolidation: <\/b> Support statutory consolidation, financial reporting, audit requests and regulator engagements relating to entity governance and legal documentation. <\/li>\n<li><b>Stakeholder Relationships: <\/b> Build strong relationships with the Director (Compliance, Governance &#038; Risk), General Counsel, Finance, People + Culture, Operations, Product Safety\/Quality, Procurement and local market leaders to create policies and escalations affecting corporate affairs and commercial activities, as well as day\u2011to\u2011day activities. <\/li>\n<li><b>Team Leadership: <\/b> Lead, develop and mentor direct reports and other Legal, Regulatory and Compliance team members (corporate, commercial and company secretarial); set priorities and manage performance. <\/li>\n<li><b>External Counsel Oversight: <\/b> Oversee selection, engagement and oversight of external counsel and service providers; drive cost\u2011effective delivery and best practice. <\/li>\n<li><b>Process Improvement: <\/b> Champion process improvement, automation and adoption of entity management and CLM systems. <\/li>\n<li><b>Training &#038; Culture: <\/b> Drive the development and delivery of legal training, both as a train\u2011the\u2011trainer within the Legal, Regulatory &#038; Compliance function and also for business leads and functional stakeholders in order to reduce risk in our business operations and embed risk\u2011aware behaviours. <\/li>\n<li><b>Communication &#038; Change Management: <\/b> Support the General Counsel and Director, Compliance, Governance and Risk in communications and change management to promote a culture of governance and accountability across the group. <\/li>\n<\/ul>\n<h3>Benefits <\/h3>\n<p>Monthly \u201cSelf\u2011Love Days\u201d \u2013 at company discretion.
