Overview
Our client, a high-profile multinational conglomerate with a diverse portfolio of global interests, is seeking a Senior Legal Counsel to join their headquarters in the DIFC. This is a high-visibility role designed for a strategic legal professional with a clear succession path to General Counsel and Board Membership within a few years.
Responsibilities

Lead the negotiation and drafting of complex commercial contracts, cross-border M&A, and high-value real estate transactions.

Manage intricate GP/LP structures, fund formations, and side letters across a global array of jurisdictions (Cayman, Luxembourg, Delaware, etc.).

Supervise the corporate hygiene and secretarial duties for a group structure comprising 30–40 international holdings and entities.

Coordinate global filing, prosecution, and enforcement strategies for intellectual property and patents across the GCC, EU, and US.

Oversee MSAs, franchise, and distribution agreements, ensuring compliance with UAE Commercial Agencies Law and international competition rules.

Act as the primary point of contact for international law firms and regulatory bodies (DFSA, SEC, FCA, CSSF) to ensure global compliance.

Manage board meeting agendas and minutes, aligning legal risk mitigation with the group’s long-term business objectives.
Qualifications
-
Holds a JD or equivalent law degree with an active license to practice in at least one recognized jurisdiction.

5–8 years of experience navigating both Common Law and Civil Law environments, ideally within a multinational or top-tier firm.

Deep technical knowledge of carried interest, waterfalls, AIVs, and feeder-master structures (e.g., SCSp, VCC, Unit Trusts).

Proven track record in managing global patent portfolios, licensing (inbound/outbound), and cross-border infringement disputes.

Total fluency in English is mandatory; professional proficiency in German, French, or Arabic is a significant competitive advantage.

Strong ability to translate complex legal risks into actionable business advice for retail, investment, and industrial sectors.

Expert drafting and negotiation skills with the ability to manage multiple high-priority projects in a fast-paced DIFC environment.
